These Terms of Service ("Terms") govern your access to and use of the Med Profit IQ platform ("Service"), operated by Doherty & Associates ("we," "our," or "us"). By accessing or using Med Profit IQ, you agree to be bound by these Terms. If you do not agree, do not use the Service.
Med Profit IQ is a SaaS financial intelligence platform for medical and healthcare practices. It connects to your accounting data (via QuickBooks Online and other integrations) to provide automated financial analysis, dashboards, AR tracking, cash flow projections, and compliance alerts.
We reserve the right to modify, suspend, or discontinue the Service at any time, with reasonable notice to active subscribers.
Med Profit IQ is offered as a subscription service. Pricing tiers are as follows:

All prices are in USD. Subscriptions are billed monthly in advance. Annual billing may be offered at a discount and will be stated explicitly at checkout.
We reserve the right to change pricing with 30 days' notice to current subscribers. Continued use after a price change takes effect constitutes acceptance of the new pricing.
Payment is due at the start of each billing period. You authorize us to charge your payment method on file automatically. Subscriptions will auto-renew unless cancelled before the renewal date.
If payment fails, we will attempt to collect payment up to three times over 7 days before suspending access. You will receive email notifications at each failed attempt.
You may cancel your subscription at any time through your account settings or by emailing jim@dohertyandassociates.com. Cancellation takes effect at the end of your current billing period. You retain full access until that date.

You agree to use Med Profit IQ only for lawful purposes in connection with your legitimate medical practice operations. You may not:
Violation of these terms may result in immediate suspension without refund.
You grant Med Profit IQ a limited, non-exclusive license to access, process, and display your data solely to provide the Service. This license terminates when you cancel your subscription and your data has been deleted per our retention policy.
We will not sell, transfer, or otherwise disclose your financial data to third parties except as required to provide the Service (e.g., QuickBooks API calls, payment processing) or as required by law.
The Med Profit IQ platform, including its software, algorithms, UI, branding, and documentation, is owned by Doherty & Associates and protected by copyright and other intellectual property laws. Nothing in these Terms grants you ownership rights to any part of the platform.
Feedback, suggestions, or ideas you submit about the Service may be used by us without obligation to you.
Med Profit IQ integrates with QuickBooks Online (Intuit), Stripe, and other third-party services. Your use of those services is governed by their respective terms of service. We are not responsible for the actions, failures, or data practices of third-party services.
Specifically, Med Profit IQ's connection to QuickBooks Online requires your authorization via Intuit's OAuth flow. You may revoke this access at any time through your QBO account settings.
Med Profit IQ provides financial intelligence tools to help you understand your practice's financial health. Nothing in Med Profit IQ constitutes financial, tax, legal, or accounting advice. You should consult a qualified professional before making financial or business decisions based on Med Profit IQ's outputs.
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF SECURITY VULNERABILITIES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DOHERTY & ASSOCIATES AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL ARISING OUT OF OR RELATED TO YOUR USE OF PROFITLAB, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.
You agree to indemnify and hold harmless Doherty & Associates, its officers, employees, and agents from any claims, damages, liabilities, and expenses (including attorneys' fees) arising out of: (a) your use of the Service in violation of these Terms; (b) your violation of any applicable law; or (c) any data you provide to the Service that infringes the rights of a third party.
Either party may terminate the subscription at any time. We may terminate or suspend your access immediately if you violate these Terms, fail to pay, or if we determine (at our reasonable discretion) that your use poses a security or legal risk.
Upon termination, your license to use the Service ends immediately. We will retain your data for 90 days post-termination (to allow for reactivation or export requests) and then delete it per our Privacy Policy.
These Terms are governed by the laws of the State of New Jersey, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved in the state or federal courts located in New Jersey, and you consent to the personal jurisdiction of those courts.
Before initiating formal legal proceedings, we ask that you contact us at jim@dohertyandassociates.com to attempt good-faith resolution.
We may update these Terms from time to time. Material changes will be communicated via email to active subscribers at least 14 days before taking effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
